These Terms of Service govern the use of the platform available at app.emiri.io, operated by Emiri sp. z o.o.
§1. Definitions
- Provider — Emiri sp. z o.o., ul. Przykładowa 1, 00-001 Warsaw, Poland.
- User — any individual (min. 18 years), legal entity or organisation that has entered into a service agreement with the Provider.
- Workspace — an isolated environment assigned to the User, containing widget configuration, knowledge base and leads.
- AI Assistant — a chatbot based on a language model (Claude / OpenAI) integrated with the User's website.
- Widget — a JavaScript code snippet embedded on the User's website.
- Plan — one of the available pricing tiers: Free, Starter, Pro, Enterprise.
§2. Registration and Account
- Registration requires a valid email address and a password. The email must be confirmed before first login.
- The User agrees to provide accurate information and update it when it changes.
- One account can manage multiple workspaces, each operating independently.
- The User is responsible for the security of their credentials. Any suspected unauthorised access must be reported to the Provider immediately.
- The Provider reserves the right to suspend or delete accounts that violate these Terms without prior notice in cases of serious violation.
§3. Scope of Services
- The Provider offers a platform for creating and managing AI assistants for websites.
- The service includes: a widget builder, automatic site crawler, RAG knowledge base, management panel, lead capture system and conversation logs.
- Service limits (number of messages, sites, workspaces) depend on the chosen Plan and are available on the pricing page.
- The Provider will make every effort to ensure 24/7 availability but does not guarantee SLA-level availability outside of Enterprise plans.
- The Provider reserves the right to scheduled maintenance, notified with 24 hours advance notice (except for critical outages).
§4. Plans and Payments
- The Free Plan is free of charge and does not require payment details. Limits as shown on the pricing page apply.
- Paid plans are billed monthly or annually, in advance, via Stripe.
- The User may change their Plan at any time. Upgrades are effective immediately; downgrades take effect at the end of the current billing period.
- Non-payment results in a downgrade to the Free Plan after a 7-day grace period. Data is retained for 30 days.
- Consumer users have the right to withdraw from the agreement within 14 days of conclusion, unless they waived this right during registration.
§5. User Obligations
- The User agrees to use the service in accordance with applicable laws, including GDPR.
- The Widget must not be embedded on pages containing illegal, pornographic, hate-inciting or third-party-rights-infringing content.
- The User is responsible for informing their website visitors about data collection by the chatbot (e.g. by updating their privacy policy).
- Attempting to circumvent Plan limits by creating multiple accounts or other means is prohibited.
- Using the platform to send spam, phishing or other harmful content is prohibited.
§6. Data and Intellectual Property
- The User retains all intellectual property rights to content added to the knowledge base.
- The User grants the Provider a limited licence to process this content for the purpose of providing the service.
- Emiri (name, logo, platform code) is the property of the Provider and protected by copyright law.
- The Provider does not sell or share User data with third parties other than sub-processors listed in the Privacy Policy.
§7. Liability
- The AI Assistant may generate imprecise or outdated responses. The Provider is not liable for decisions made based on those responses.
- The Provider is not liable for damages resulting from third-party service unavailability (e.g. Anthropic, OpenAI APIs).
- The Provider's total liability to non-consumer Users is limited to amounts paid in the three months preceding the claim.
- Liability exclusions and limitations do not apply to damages caused by gross negligence or wilful misconduct, nor to statutory consumer rights.
§8. Termination and Data Deletion
- The User may delete their account at any time from the panel settings. Workspace data is permanently deleted 30 days after confirmation.
- The Provider may terminate the agreement with 30 days' notice for material reasons, notifying the User by email.
- After account deletion, the Provider retains only data required by law (e.g. billing data for 5 years).
§9. Changes to These Terms
The Provider may amend these Terms with 14 days' advance notice. Changes will be announced on the website and by email. Continued use of the service after that period constitutes acceptance of the changes.
§10. Final Provisions
- These Terms are governed by Polish law. Unregulated matters are governed by the Civil Code and the Act on Electronic Services.
- Disputes shall be resolved by the court having jurisdiction over the Provider's registered office, subject to consumer court competence.
- Consumers may use the EU ODR platform: ec.europa.eu/consumers/odr.
- In the event of conflict between these Terms and an individual Enterprise agreement, the Enterprise agreement prevails.
